[A] Budget: Looking for Proposals
[B] Scope of Service:
(1) Vendor needs to provide financial and municipal advisory services to advise district staff in the structuring and issuance of debt financings and the investment of debt proceeds to the government authority located in New Orleans, LA.
• Provide analytical and advisory services to the district regarding potential debt financing and management for:
o future capital planning and debt issuance
o current debt portfolio if applicable, and
o financial strength, credit ratings and debt capacity
• Assist in the preparation of and review all instruments and documents required for bond and note refinancing, including preparation of the preliminary official statement; and preparation and review of cash flows.
• Assist the district and participate in presentations to and negotiations with financial institutions, developers, governmental entities, and others.
• Make recommendations on the use of the district reserves and surpluses.
• Assist the District in making submissions and presentations relating to the district’s financial practices and needs to governmental and private entities.
• Advise the District generally on structuring new programs and restructuring existing financing programs.
• Recommend alternatives for minimizing the impact of additional debt on taxpayers, e.g., research various financing plans suitable for the anticipated projects and if pertinent, review the desirability of refinancing outstanding bond issues under appropriate conditions.
• Periodically review the district’s financed projects to determine refunding or refinancing possibilities.
• As requested, advise and assist the district on financial matters unrelated to bond financing, such as meeting the district’s short-term cash needs.
• Analyze the financial soundness of proposed programs through the preparation of cash flow and other financial estimates based on assumptions relating to interest rates, servicing fees, timing of bond or note repayment schedules, arbitrage calculations and compliance, investment of funds, debt service schedules, etc. This service may either be provided directly or through subcontracting with responsible firms capable of providing the required analyses.
• Assemble and organize all relevant information and direct the process for obtaining ratings
and insurance bids for the district’s debt issues.
• Advise the District on the appropriateness of competitive or negotiated sales and usage of all provisions.
• Arrange for the printing and delivery of the official statements.
• Participate in the pre-closing and closing activities for each transaction.
• Prepare various principal and interest schedules requested.
• Review any lease purchase or other financing proposal that the district may receive from other sources and render their advice thereon.
• The district will work closely with its Financial Advisor to plan and complete financings. The Financial Advisor may be required to perform any or all of the following tasks:
o Debt Management Services
▪ Monitor outstanding debt
▪ Perform debt capacity modeling
▪ Advise the District of potential debt refinancing models, including defeasance and refinancing of existing debt
▪ Advise the District of federal and state laws governing debt issuances and investments of debt proceeds
o Debt Issuance Services
▪ Advise the District regarding debt instrument timing, selection and structure.
▪ Advise the District on market conditions during pricing.
▪ Assist in soliciting a paying agent for the debt issuance.
▪ Provide review and input in the preparation of the official statement.
▪ Serve as a liaison for the district with the rating agencies.
▪ Provide electronic bid acceptance and processing, if applicable.
▪ Produce and distribute:
• Debt service schedules
• Settlement letter
• Bond yield documentation
• Coordination of closing on the debt.
o Attendance at board meetings
▪ Attend Board meetings during consideration of debt financings
• Special Requests
o Be available to consult representatives by telephone and in person, as required,
o Consult with representatives on other capital development and property tax related processes, including but not limited to, Tax Increment Districts, inclusion of charter schools’ capital needs in the district’s long term capital development process, and multi-year financial planning,
o Consult with representatives regarding best practices and case studies on state-wide school financial matters.
